The definition "not in public hands" relates to shares held by:-

• A related party (the directors of the Company, a substantial shareholder holding more that 10%, an associate of a director or substantial shareholder, and any person who was a director of the Company or any of its subsidiaries or a substantial shareholder within in the past twelve months).
• The trustees of any employee share scheme or pension fund.
• Any person who under any agreement has a right to nominate a person to the board of directors.
• Any person subject to a lock-in agreement.
• The Company, if holding treasury shares.
